Customers are solely responsible for verifying the accuracy of all order details, including shipping addresses and product specifications, prior to submission. CVP is not liable for errors or delays resulting from inaccurate customer input. We reserve the right to correct any typographical errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information on the website is inaccurate at any time without prior notice. MEDIA TRANSFER AGREEMENT & LIMIT OF LIABILITY
Please read this Agreement carefully. By submitting your media items (including but not limited to VHS tapes, camcorder tapes, audio tapes, film reels, slides, negatives, transparencies, photographs, audio reels, discs, disks, and digital storage media, collectively referred to as "Media Items") to South Bay Custom Video Productions, Inc. ("Company"), you agree to the following terms and conditions.
1. Absolute Limitation of Liability (Including Fire, Theft, and Loss)
You acknowledge and agree that South Bay Custom Video Productions, Inc. is providing a digital conversion service and that your Media Items have no commercial market value. In the event that any Media Items are lost, damaged, destroyed, or misplaced while in our possession—even if caused by the negligence, breach of contract, or other fault of the Company, its employees, or agents—including, but not limited to, damage or destruction caused by fire, theft, burglary, vandalism, flood, water damage, power surges, or equipment malfunction, and even if caused by the negligence of the Company, its employees, or agents—the Company's sole and exclusive liability is limited to:

Providing a full refund of the service fees paid by you for the specific damaged or lost item(s), AND
-
Providing blank replacement media of equal physical format (e.g., a blank VHS tape, blank film roll, or an equivalent blank digital storage drive).
2. Exclusion of Sentimental and Consequential Damages
You expressly acknowledge that the Media Items submitted contain unique, personal, and sentimental value that cannot be quantified or replaced. The Company strictly excludes, and shall not be held liable for, any sentimental value, emotional distress, mental anguish, loss of data, profits, or any incidental, special, indirect, punitive, or consequential damages of any kind.
3. Pre-Existing Degradation and "Inherent Vice"
Old media formats naturally degrade over time. The Company is not responsible for damage that occurs due to the fragile, brittle, or unstable condition of your media upon arrival. This includes, but is not limited to:

Magnetic tape snapping, shedding, or sticking (Sticky Shed Syndrome).

Mold, water damage, or dirt contamination causing tearing during playback.

Brittle film sprocket failures, warping, or chemical decay (Vinegar Syndrome).

Scratched or decaying optical discs, negatives, and photos.
The Company reserves the right to refuse service on any item deemed too fragile to safely process.
4. Third-Party Shipping Disclaimer
If you ship your Media Items to us, or if we ship your completed order back to you, you acknowledge that the transit is handled entirely by a third-party carrier (e.g., USPS, FedEx, UPS). The Company is not responsible for any loss, theft, damage, or delivery delays caused by the shipping carrier. Risk of loss passes to you the moment we hand the shipment to the carrier. We highly recommend using a trackable shipping method and purchasing independent shipping insurance.
5. Use of Third-Party Contractors (Subcontracting)
The Company reserves the right, at its sole discretion, to outsource or subcontract certain specialized portion(s) of your order to trusted third-party facilities or partner companies (e.g., for specialized vintage formats, advanced mold remediation, or high-resolution film scanning). In the event that your Media Items are sent to a third-party subcontractor, the Company’s absolute limitation of liability as outlined in Sections 1 and 2 remains in full effect. The Company shall not be held liable for any transit loss, delays, negligence, or damage caused by the subcontractor beyond the remedy of a service refund and blank media replacement.
6. Customer Copyright Warrant and Indemnification
You represent and warrant that you are the sole legal owner of, or have explicit written permission to reproduce, all content contained within the Media Items. You agree to fully indemnify, defend, and hold harmless the Company against any and all claims, damages, legal fees, or liabilities arising from copyright infringement, trademark violation, or invasion of privacy claims related to the content you submitted. The Company will not copy commercially copyrighted material (e.g., Hollywood movies, broadcast television, professional music) without proof of rights.
7. Unclaimed Media Policy
The Company will notify you when your order is complete. If you do not pay for your services or fail to pick up/arrange return shipping for your original Media Items within ninety (90) days of completion, the items will be considered abandoned. The Company reserves the right to dispose of, recycle, or destroy abandoned media without further liability or notice to you.
8. Governing Law and Severability
This Agreement shall be governed by and construed in accordance with the laws of the State of California. If any provision of this Agreement is found to be invalid or unenforceable by a court of law, the remaining provisions will continue in full force and effect.
By submitting your media items, paying an invoice, dropping off, shipping your media to us texting, e-mailing or doing business with us constitutes full acceptance , you agree to our all our terms of service, Cancellation Return Policy, and Limit of Liability.
